    1.1 These terms and conditions of use (Terms) explain how you may use this website (https://www.jpsbgroup.com/) and any of its content (Site). These Terms apply between JPSB Group Limited (we, us or our) and you, the person accessing or using the Site (you or your).

    1.2 Given this is a business website it is not envisaged that you will be a consumer. We do not offer our services directly to consumers.

    1.3 You should read these Terms carefully before using the Site. By using the Site or otherwise indicating your consent, you agree to be bound by these Terms. If you do not agree with any of these Terms, you should stop using the Site immediately.

    1.4 These Terms apply to any parts of the Site, its functionality and content provided to you free of charge for general information purposes only.

    1.5 If you purchase any services from us or the Site, separate terms and conditions will apply.

    3 Using the Site

    3.2 You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the Site.

    3.3 We make no promise that the Site is appropriate or available for use in locations outside of the UK. If you choose to access the Site from locations outside the UK, you acknowledge you do so at your own initia tive and are responsible for compliance with local laws where they apply.

    4 Linking to the Site

    4.1 You may link to our Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

    4.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

    4.3 We reserve the right to withdraw linking permission without notice.

    5 Your privacy and personal information

    Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy available here, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.

    6 Ownership, use and intellectual property rights

    6.1 The intellectual property rights in the Site and in any text, images, video, audio or other multimedia content, software or other information or material submitted to or accessible from the Site (Content) are owned by us and our licensors.

    6.2 We and our licensors reserve all our intellectual property rights (including, but not limited to, all copyright, trade marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world. This means, for example, that we remain owners of them and are free to use them as we see fit.

    6.3 Nothing in these Terms grants you any legal rights in the Site or the Content other than as necessary for you to access it. You agree not to adjust, try to circumvent or delete any notices contained on the Site or the Content (including any intellectual property notices) and in particular, in any digital rights or other security technology embedded or contained within the Site or the Content.

    6.4 Trade mark s : ‘JPSB’ is our trade mark. Other trade marks and trade names may also be used on the Site or in the Content . Use by you of any trade marks on the Site or in the Content is strictly prohibited unless you have our prior written permission.

    6.5 Our status (and that of any identified contributors) as the authors of content on our Site must always be acknowledged.

    6.6 You must not use any part of the content on our Site for commercial purposes without obtaining a licence to do so from us or our licensors.

    6.7 If you print off, copy, download, share or repost any part of our Site in breach of these Terms, your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. 

    7 No text or data mining, or web scraping

    7.1 You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our Site or any services provided via, or in relation to, our Site. This includes using (or permitting, authorising or attempting the use of):

    7.1.1 any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the site or any data, content, information or services accessed via the same ;

    7.1.2 any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.

    7.2 The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of Digital Copyright Directive ((EU) 2019/790).

    7.3 This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.

    7.4 This site, its content and any services provided in relation to the same are only targeted t o, and intended for use by, individuals and businesses located in the United Kingdom (each, a Permitted Territory). By continuing to access, view or make use of this site and any related content and services, you hereby warrant and represent to us that you are located in a Permitted Territory. We do not represent that content available on or through our Site is appropriate for use or available in other locations.

    8 Accuracy of information and availability of the Site

    8.1 We try to make sure that the Site is accurate, up – to – date and free from bugs, but we cannot promise that it will be. Furthermore, we cannot promise that the Site will be fit or suitable for any purpose. Any reliance that you may place on the information on the Site is at your own risk.

    8.2 We may suspend or terminate access or operation of the Site at any time as we see fit.

    8.3 We may update and change our Site from time to time to reflect changes to our services, our clients’ needs, our business priorities or otherwise.

Your use of a third – party site may be governed by the terms and conditions of that third – party site and is at your own risk. 

    10 Our responsibility to you

    10.1 If we breach these Terms or are negligent, we are liable to you for foreseeable loss or damage that you suffer as a result. By ‘foreseeable’ we mean that, at the time these Terms were formed, it was either clear that such loss or damage wou ld occur, or you and we both knew that it might reasonably occur, as a result of something we did (or failed to do).

    10.2 We are not liable to you for any loss or damage that was not foreseeable, any loss or damage not caused by our breach or negligence, or any business loss or damage.

    10.3 To the maximum extent permitted by law, we hereby exclude all implied conditions, warranties, representations or other terms that may apply to our Site or any content on it. We will not be liable to yo u for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

    10.3.1 use of, or inability to use, our Site; or

    10.3.2 use of or reliance on any content displayed on our Site.

    10.4 In particular, we will not be liable for:

    10.4.1 loss of profits, sales, business, or revenue;

    10.4.2 business interruption;

    10.4.3 loss of anticipated savings;

    10.4.5 any indirect or consequential loss or damage.

    10.5 Different limitations and exclusions of liability may apply to liability arising as a result of the supply of any services to you, which will be set out in the written agreement between you and us.

    10.6 Nothing in these terms excludes or limits our liability for any death or personal injury caused by our negligence, liability for fraud or fraudulent misrepresentation, or any other liability that the law does not allow us to exclude or limit.

    11 Events beyond our control

    We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control.

    12 No third – party rights

    No one other than us or you has any right to enforce any of these Terms .

    13 Variation

    13.1 No changes to these Terms are valid or have any effect unless agreed by us in writing or made in accordance with this clause 13.

    13.2 We reserve the right to vary these Terms from time to time. Our updated Terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us . It is your responsibility to check these Terms from time to time to verify such variations.

    14 Assignment

    We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

    15 Complaints

    15.1 We will try to resolve any disputes with you quickly and efficiently. If you are unhappy with us , please contact us as soon as possible using the contact details set out in clause 2.2 above .

    15.2 The laws of England and Wales apply to these Terms .

    15.3 Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
